Purpose:  There is a wide range of resources important to corporate entities that are beyond the scope of this software.  In an effort to scratch the surface of the enormous amount of resources available, web links have been included to provide additional information on corporate topics.  One of the most important is the Corporate Code (Law) link which connects to the corporate code for each state, territory, and Canadian province.

 

Overview:  To access information on the topics listed on the More Resources form click on the topic and the default web browser will link to the related web page.  Use the pull-down menu to select a state and click the GO button to connect to corporate law links or secretaries of state.  Click the SEC Web Link to connect directly to the US Securities and Exchange Commission web site.

Company Tabs:  Normally these tabs are used to filter the database by company so that only data pertaining to a certain company appears on the form but for the More Resources page they are not of use.

Resource Tabs:  This is a second set of tabs under the company tabs.   Click a tab to select the professional resource that is appropriate or select Other Resources to view Internet web links for various topics related to corporations.

SEC Web Site:  The Securities and Exchange Commission is the regulatory agency that oversees the trading of publicly held companies.  Although it may be difficult to locate needed information, rules for publicly held companies are located on this site.  It can be a valuable resource for both publicly held companies and companies that intend to go public.

Sec of State Go Button:  After a state is selected in the Secretaries of State  list of states, pressing this button will link you to the web site for the Secretary of State of the selected state, province, or territory.

Corporate Law Go Button:  After a state is selected in the Corporate Code list of states, pressing this button will link you to the web site containing the basic corporate law for the selected state, province, or territory.

Sec. of State Pull-Down:  Links to the Secretary of State web sites for each state.  Most U.S. territories and Canadian provinces are included as well.  The purpose is to provide the forms and instructions needed to apply for and keep a corporate entity current.

Corporate Code Pull-Down:  Links to the basic corporate law web sites for each state, territory and Canadian province.  The purpose is to provide most of the legal references needed to keep a corporation compliant with the governing authority.  Although most of the governments administering these sites try to keep their sites current, you can not assume that all of the requirements are contained on the site.  Laws are constantly changing and you need to contact a corporate attorney to ensure that all laws are being followed for a particular state, territory, or province.
