Resident Agent

 

Note:  The description of each Professional Resource form is very similar.  If you are going through Help forms one-by-one you may want to read about one of the Professional Resources then skip to the Other Resources form.

 

Purpose:  Resident Agent information is needed in many of the corporate documents generated by the CMS.  The Resident Agent form eliminates duplication of data, reduces the possibility of errors, and reduces the amount of time needed to produce corporate documents.

 

Overview:  To add a record, press the New button on the standard toolbar.  The new record is generated is titled New Resident Agent Record.  Click in the Resident Agent textbox and enter the name of the resident agent.  The initial ‘** No Resident Agent **’ record must remain an option for corporations that do have a resident agent so it can not be modified or deleted.

 

Fill in the data including the appointment date which is the date of the directors’ resolution documenting the appointment of the resident agent.  Enter the annual fee, which is the yearly amount paid for the resident agent to represent the corporation.  (If the fee is monthly multiply it by 12 for the annual fee.)  Add as many resident agent records as needed for all the corporations in the database.

 

All of the resident agents are displayed in the resident agent list.  When a different company is selected using the company tabs at the top of the form, the resident agent for the company is selected in the list and the resident agent’s data appears on the form.  To select a different resident agent for a company just click on the resident agent’s name in the list while the company name is selected in the company tabs.  If a company is not represented by a resident agents select the ‘** No Resident Agent **’ option.

6.  Reports The following reports are accessible from the Reports option on the main menu. While moving from one form to another the report options change.

-  Resident Agents by Company
-  Resident Agents by Resident Agent

Company Tabs:  Use these tabs to navigate through the companies in the database.  When a company name is selected, the resident agent representing the company is selected in the resident agent list.

Resource Tabs:  This is a set of tabs located under the company tabs that display the professional resource pages.  The Other Resources tab displays web links to topics important to corporations including the SEC web site and Secretary of State web sites.

Resident Agents:  List of all resident agents in the database.  Select a company tab at the top of the form then select one of the resident agents in this list.  The selected resident agent’s name is then associated with the selected company.  Each time a company tab is selected the resident agent’s information appears on the form for the resident agent that is associated with the selected company.

Date Appointed:  The date the board of directors approved a resolution appointing the selected resident agent to represent the corporation.

Annual Fee:  The fee charged by the Resident Agent to represent the selected corporation in the state of incorporation.  If the fee charged is monthly, multiply it by twelve to get the annual fee.

Email Button:  Click this button to send an email message to the selected resident agent.  Your email software must be MAPI compliant to use the CMS for emailing.  MAPI is supported by:  Outlook, Outlook Express, Netscape, Eudora, and Groupwise.

Resident Agent:  The resident agent textbox should contain the name of the resident agent while the Representative textbox contains the name of the contact that works with the corporation.

Email Address:   Email address for the resident agent.  This is required if you want to send emails to the resident agent using the Email Button.

Adding A Resident Agent Record:  Click the Add button on the standard toolbar to add a record to the resident agent list.

Deleting A Resident Agent Record:  Press the Delete button on the standard toolbar to delete the selected resident agent record.  If the resident agent record that’s being deleted is associated with a company in the database, the name of the resident agent will change to the ‘** No Resident Agent **’ option.

Modifying A Resident Agent Record:  Select the name of the resident agent in the list.  Information for the selected resident agent appears and can then be modified.
